KODO1 WHITELIST AND PRE-SALE PROGRAM

GENERAL REGULATIONS

KODO1 PRE-SALE PROGRAM (“Program”) is sponsored by KODO LTD. (“Sponsor”) and governed by these rules (“Rules”). By participating in the Program, each entrant agrees to abide by these Rules, including all eligibility requirements and the limited benefits offered by Sponsor and its agents.

ELIGIBILITY

These Programs are open to all individual person (except people from the United States, legal residents in China, in countries that are in the OFAC list and other countries where prohibited by law), and who have access to a compatible device and a valid e-mail account prior to the beginning of the Programs periods. Sponsor has the right to verify the eligibility of each entrant.

WHITELISTING PROGRAM PERIOD

KODO1 WHITELISTING PROGRAM period begins on February 27th, 2023, and ends on April 09th, 2023, at 11:59 pm, UTC time. No entries in the Program will be accepted before or after these dates. Joining the whitelisting program is mandatory in order to have access to the pre-sale program (“Whitelisting Program”).

PRE-SALE PROGRAM PERIOD

KODO1 PRE-SALE PROGRAM period begins on April 10th, 2023, and ends on April 11th, 2023, at 11:59 pm, UTC time. No entries in the Pre-Sale Program will be accepted before or after these dates (Pre-Sale Program).

HOW TO ENTER

You can register the request in the Whitelisting Program until April 09th, 2023, by following all the tasks (“Tasks”) exclusively by using the website www.kodoassets.com/whitelist (“Website”), which follows below:

• Inform your ETH/BEP-20 wallet public address;
• Inform your valid e-mail address;
• Inform your full name and country of residence;
• Read the Rules, understand them, and agree to be bound by all of their terms and conditions. If you do not agree to the terms of the Rules, discontinue participation in and use of the Whitelisting Program and terminate your Whitelisting Program’s account.

Only one (1) account per person will be allowed. Each properly completed and received account request will receive one (1) account. The Sponsor is not responsible for late, incomplete, misdirected, or delayed Programs’ account request. Requests that do not comply with this regulation will be automatically disqualified.

If an account request includes any prohibited element, the account will be automatically disqualified, along with the entrant who submitted it. Sponsor reserves the right to modify or reject any account request, in its sole and absolute discretion, that does not meet the above criteria.

PROGRAM LICENSE

Subject to the Rules, Sponsor grants the Whitelisting Program’s entrants a non-exclusive, non-transferable license (without the right to sublicense) to access and use the Pre-Sale Program for personal use to access the Pre-Sale Program. Sponsor reserves the right to change, upgrade or discontinue the Whitelist and the Pre-Sale Program and any feature of them, at any time, with or without notice. All rights not expressly granted under these Rules are reserved by Sponsor.

Entrants shall agree that they will not, and will not permit others to: (i) damage, interfere with or unreasonably overload the Programs; (ii) introduce into the Programs any code intended to disrupt the Programs; (iii) alter or delete any information, data, text, links, images, software, chat, communications and other content available through the Programs; (iv) access the Programs by expert system, electronic agent, “bot” or other automated means or frame the Programs within any applications; (v) use scripts or disguised redirects to derive financial benefit from Sponsor; (vi) modify, reverse engineer, reverse assemble, decompile, copy or otherwise derive the source code of any Sponsor property for any reason; (vii) rent, sell or sublicense any of the Sponsor properties; (viii) provide any unauthorized third party with access to the Programs; (ix) access or attempt to access confidential content through the Sponsor properties; (x) interfere with the operation of the Programs, including, but not limited to, distribution of unsolicited advertising or mail messages and propagation of computer worms and viruses; (xi) post any material in any form whatsoever on the Sponsor properties or within the Programs that is defamatory, obscene or otherwise unlawful or violates any third party’s right of privacy or publicity; (xii) infringe any third party’s patent, copyright, service mark, trademark or other intellectual property right of any kind or misappropriate the trade secrets of any third party in connection with your use of the Programs or the Sponsor properties; (xiii) engage in any activity that does not comply with applicable law and regulations or otherwise engage in any illegal, manipulative or misleading activity through the use of the Programs; (xiv) use the manual or automated software, devices or other processes to “scrape,” “crawl,” “spider” or index any page of content from the Sponsor properties.

BENEFITS

Each valid Whitelisting Program’s account will be eligible to receive the following benefits, if and when one purchases KODO1 tokens:

• A customized Program’s NFT;
• The right to pre-acquire KODO1 tokens on March 20 an 21th, 2023 (access to the Pre-Sale Program); and
• The ability to earn cashback on the first KODO1 tokens purchase completed through the Program, observed the following criteria.

In the first purchase, it will be permitted to entrants to acquire one or more KODO1 tokens. Cashback shall be applied only in the first KODO1 tokens purchase:

- Up to 4,999999999999999999 KODO1: USDC 0.00 cashback;
- COPPER: between 5 and 24 KODO1: USDC 25.00 cashback;
- SILVER: between 25 and 100 KODO1: USDC 100.00 cashback;
- GOLD: between 100 and 1,000 KODO1: USDC 1,000.00 cashback; and
- DIAMOND: between 1,000 and 25,000 KODO1: USDC 10,000.00, cashback.

Cashback shall be limited to the first personal account completed purchases as follows:

- COPPER: first 5,000 (five thousand) KODO1 purchases;
- SILVER: first 30 (thirty) KODO1 purchases;
- GOLD: first 5 (five) KODO1 purchases; and
- DIAMOND: first 1 (one) KODO1 purchase.

IMPORTANT: the NFT transfer and the cashback will be paid only upon completion of the successful KODO1 offer, along with the distribution of KODO1 tokens (Sponsor may cancel the offer and the cashback hereby if Sponsor do not sell all offered tokens – please refer to the whitepaper for the rules at www.kodoassets.com/whitepaper).

As a condition of payment of accrued cashback, entrant must: (i) establish and maintain an active Whitelisting and Pre-Sale Programs account; (ii) provide a valid email address that are able to receive email; and (iii) provide an ETH/BEP-20 wallet public. Entrants further agree to provide any additional information Sponsor may reasonably request to verify entrant identity as a condition for receiving payment.

Entrants will be notified in the Website on April 7th, 2023 and receive the NFT and the cashback in USDC directly in the crypto wallet informed in the Tasks at the same day of KODO1’s distribution.

Failure to comply with the requirements, including, but not limited to, providing a wrong wallet address in the Tasks, will result in forfeiture of the Benefits. Under no circumstances the Benefits will be deposited in a different crypto wallet than the one informed in the Tasks.

Entrants will be solely responsible for any tax liability arising out of the consideration received in connection with any referrals or promotional activities.

By accepting a Benefit recipient grants to the Sponsor its parent, subsidiaries and related companies, and those acting pursuant to the authority of Sponsor (which grant will be confirmed in writing upon Sponsor’s request), the right to print, publish, broadcast and use worldwide IN ALL MEDIA without limitation at any time the recipient’s full name, portrait, picture, voice, likeness and/or biographical information for advertising, trade and promotional purposes without further payment or additional consideration, and without review, approval or notification. Winner acknowledges that Sponsor have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Benefit. 

GENERAL

The Sponsor does not assume any responsibility and is not responsible for: (i) the incorrect or inaccurate capture of account information; (ii) accounts which fail to comply with the Rules; (iii) any loss, damage, or claims caused by the awarded Benefit or the Programs themselves; (iv) any failure of the website during the Programs periods, including any problems, human or technical error, printing errors, lost, delayed, garbled data or transmissions, omissions, interruption, deletion, defect or failures of any telephone or computer lines, or technical malfunction of any computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail; on-line entry to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant’s or any other person’s computer related to or resulting from downloading any material in the Program, all of which may affect a person’s ability to participate in the Programs; or (v) any other matter whatsoever. 

TERMINATION

The Sponsor reserves the right to terminate or suspend these Programs or to amend the Rules at any time and in any way, without prior notice. Without limiting the foregoing, if, for any reason, the Programs are not capable of running as originally planned, such as tampering or infection by computer virus or non-completion of KODO1 offer, the Sponsor reserves the right to cancel the Programs and conduct the draws from all previously eligible entries received by the date of cancellation.

INCONSISTENCY

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Programs-related materials, including, but not limited to: Programs entry form, and/or social networks, television, print or online advertising; the terms and conditions of these Rules shall prevail, govern and control.

CONSENT TO USE PERSONAL INFORMATION

By entering these Programs, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her entry for the purpose of administering the Programs and in accordance with Sponsor’s privacy policy (available at: https://www.kodoassets.com/privacy). This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

MISCELLANEOUS

All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of entrants and the Sponsor in connection with the Programs, shall be governed by, and construed in accordance with, the laws of Nassau, Bahamas. Any attempt by a participant or any other individual to deliberately damage any website or undermine the legitimate operation of the Programs may be a violation of criminal and civil laws and should such an attempt be made, The Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.
